LIABILITYLIMITATIONS.YoucanrecoverfromMicrosoftanditsaffiliatesonlydirectdamagesuptofiftyU.S.Dollars(U.S.$50.00),or
equivalentinlocalcurrency.Youcannotrecoveranyotherdamages,includingconsequential,lostprofits,special,indirectorincidental
damages.Thislimitationappliesto:
‐AnythingrelatedtotheSoftware,services,content(includingcode)onthirdpartyinternetsites,orthirdpartyprograms,and
‐claimsforbreachofcontract,breachofwarranty,guarantee orcondition,strictliability,negligence,orothertorttotheextentpermittedby
applicablelaw.
ItalsoappliesevenifMicrosoftshouldhavebeenawareofthepossibilityofthedamages.Theabovelimitationmaynotapplytoyoubecause
yourcountrymaynotallowtheexclusionorlimitationofincidental,consequentialorotherdamages.
2LIMITEDWARRANTYFORTRIMBLEPRODUCTSOFTWARE
2.1 LimitedWarranty.TrimblewarrantsthattheSoftware,exclusiveoftheMicrosoftSoftware,willperformsubstantiallyinaccordancewiththe
accompanyingwrittenmaterialsforaperiodoftwelve(12)monthsfromthedateofpurchase.Thislimitedwarrantygivesyouspecificlegal
rights;youmayhaveothers,whichvaryfromstate/jurisdictiontostate/jurisdiction.TheabovelimitedwarrantydoesnotapplytoFixes,Minor
Updates,orMajorUpgradesoftheSoftwareafterexpirationofthetwelve(12)monthlimitedwarrantyperiod,allofwhichareprovided“ASIS”
andwithoutwarrantyunlessotherwisespecifiedinwritingbyTrimble.BecausetheSoftwareisinherentlycomplexandmaynotbecompletely
freeofnonconformities,defectsorerrors,youareadvisedtoverifyyourwork.TrimbledoesnotwarrantthattheSoftwarewilloperateerror
freeoruninterrupted,willmeetyourneedsorexpectations,orthatallnonconformitiescanorwillbecorrected.
2.2 SoftwareFixes.Duringthelimitedwarrantyperioddescribedinsection2.1above,youwillbeentitledtoreceivesuchFixestotheProduct
SoftwarethatTrimblereleasesandmakescommerciallyavailableandforwhichitdoesnotchargeseparately,subjecttotheproceduresfor
deliverytopurchasersofTrimbleproductsgenerally.IfyouhavepurchasedtheProductfromanauthorizedTrimbledealerratherthanfrom
Trimbledirectly,Trimblemay,atitsoption,forwardthesoftwareFixtotheTrimbledealerforfinaldistributiontoyou.MinorUpdates,Major
Upgrades,newproducts,orsubstantiallynewsoftwarereleases,asidentifiedbyTrimble,areexpresslyexcludedfromthisupdateprocessand
limitedwarranty.ReceiptofSoftwareFixesorotherenhancementsshallnotservetoextendthelimitedwarrantyperiod.
Forpurposesofthiswarrantythefollowingdefinitionsshallapply:(1)"Fix(es)"meansanerrorcorrectionorotherupdatecreatedtofixa
previoussoftwareversionthatdoesnotsubstantiallyconformtoitsTrimblespecifications;(2)"MinorUpdate"occurswhenenhancementsare
madetocurrentfeaturesinasoftwareprogram;and(3)"MajorUpgrade"occurswhensignificantnewfeaturesareaddedtosoftware,orwhena
newproductcontainingnewfeaturesreplacesthefurtherdevelopmentofacurrentproductline.Trimblereservestherighttodetermine,inits
solediscretion,whatconstitutesaFix,MinorUpdate,orMajorUpgrade.
2.3 CustomerRemedies.Trimble’sanditssuppliers’entireliability,andyoursoleremedy,withrespecttotheSoftwareshallbeeither,at
Trimble’soption,(a)repairorreplacementoftheSoftware,or(b)returnofthelicensefeepaidforanySoftwarethatdoesnotmeetTrimble’s
limitedwarranty.ThislimitedwarrantyisvoidiffailureoftheSoftwarehasresultedfrom(1)accident,misuse,abuse,ormisapplication;(2)
alterationormodificationoftheSoftwarewithoutTrimble’sauthorization;(3)interactionwithsoftwareorhardwarenotsuppliedorsupported
byTrimble;(4)yourimproper,inadequateorunauthorizedinstallation,maintenanceorstorage;or(5)ifyouviolatethetermsofthisEULA.Any
replacementSoftwarewillbewarrantedfortheremainderoftheoriginalwarrantyperiodorthirty(30)days,whicheverislonger.
2.4 NOOTHERWARRANTIES.TOTHEMAXIMUMEXTENTPERMITTEDBYAPPLICABLELAW,TRIMBLEANDITSSUPPLIERSDISCLAIMALLOTHER
WARRANTIES,TERMSANDCONDITIONS,EITHEREXPRESSORIMPLIED,BYSTATUTE,COMMONLAWOROTHERWISE,INCLUDINGBUTNOT
LIMITEDTO,IMPLIEDWARRANTIES,TERMSANDCONDITIONSOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE,TITLE,AND
NONINFRINGEMENTWITHREGARDTOTHESOFTWARE,ITSSATISFACTORYQUALITYANDTHEPROVISIONOFORFAILURETOPROVIDESUPPORT
SERVICES.TOTHEEXTENTALLOWEDBYAPPLICABLELAW,IMPLIEDWARRANTIES,TERMSANDCONDITIONSONTHESOFTWAREARELIMITEDTO
NINETY(90)DAYS.Y0UMAYHAVEOTHERLEGALRIGHTSWHICHVARYFROMSTATE/JURISDICTIONTOSTATE/JURISDICTION.
NO WARRANTIES FOR THE MICROSOFT SOFTWARE. THE MICROSOFT SOFTWARE is provided “AS IS” and with all faults, AND TRIMBLE
PROVIDESNOWARRANTYWITHRESPECTTHERETO.THEENTIRERISKASTOSATISFACTORYQUALITY,PERFORMANCE,
ACCURACY AND EFFORT (INCLUDING LACK OF NEGLIGENCE) FOR THE MICROSOFT SOFTWARE IS WITH YOU. ALSO, THERE IS NO
WARRANTYAGAINSTINTERFERENCEWITHYOURENJOYMENTOFTHEMICROSOFTSOFTWAREORAGAINSTINFRINGEMENT.
2.5 PLEASENOTE:THEFOREGOINGTRIMBLELIMITEDWARRANTYPROVISIONSMAYNOTAPPLYTOSOFTWAREPRODUCTLICENSESPURCHASED
INTHOSEJURISDICTIONS(SUCHASCOUNTRIESOFTHE EUROPEANUNION)INWHICHPRODUCTWARRANTIESAREOBTAINEDFROMTHELOCAL
DISTRIBUTOR.INSUCHCASES,PLEASECONTACTYOURTRIMBLEDEALERFORAPPLICABLEWARRANTYINFORMATION.
3TRIMBLELIMITATIONOFLIABILITY

LIABLEFORANYSPECIAL,INCIDENTAL,INDIRECT,CONSEQUENTIALORPUNITIVEDAMAGESHOWEVERCAUSEDANDREGARDLESSOFTHE
THEORYOFLIABILITY(INCLUDING,WITHOUTLIMITATION,DAMAGESFORLOSSOFBUSINESSPROFITS,BUSINESSINTERRUPTION,LOSSOF
BUSINESSINFORMATION,ORANYOTHERPECUNIARYLOSS)ARISINGOUTOFTHEUSEORINABILITYTOUSETHESOFTWARE,ORTHEPROVISION
OFORFAILURETOPROVIDESUPPORTSERVICES,EVENIFTRIMBLEHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGESAND
NOTWITHSTANDINGANYFAILUREOFESSENTIALPURPOSEOFANYEXCLUSIVEREMEDYPROVIDEDINTHISEULA.
INNOEVENTSHALLTHETOTALCUMULATIVELIABILITYOFTRIMBLEANDITSSUPPLIERSINCONNECTIONWITHTHISEULAORTHESOFTWARE,WHETHER
BASEDONCONTRACT,WARRANTY,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITYOROTHERWISE,EXCEEDTHEACTUALAMOUNTPAIDTOTRIMBLE
FORTHESOFTWARELICENSEGIVINGRISETOTHECLAIM.BECAUSESOMESTATESANDJURISDICTIONSDONOTALLOWTHEEXCLUSIONORLIMITATION
OFLIABILITYFORCONSEQUENTIALORINCIDENTALDAMAGES,THEABOVELIMITATIONMAYNOTAPPLYTOYOU.
4GENERAL
4.1 ThisEULAshallbegovernedbythelawsoftheStateofCaliforniaandapplicableUnitedStatesFederallawwithoutreferenceto“conflictof
laws”principlesorprovisions.TheUnitedNationsConventiononContractsfortheInternationalSaleofGoodswillnotapplytothisEULA.
JurisdictionandvenueofanydisputeorcourtactionarisingfromorrelatedtothisEULAortheSoftwareshalllieexclusivelyinorbetransferred
tothecourtstheCountyofSantaClara,California,and/ortheUnitedStatesDistrictCourtfortheNorthernDistrictofCalifornia.Youhereby
consentandagreenottocontest,suchjurisdiction,venueandgoverninglaw.
4.2 Section4.1notwithstanding,ifyouacquiredthisproductinCanada,thisEULAisgovernedbythelawsoftheProvinceofOntario,Canada.Insuchcase
eachofthepartiestothisEULAirrevocablyattornstothejurisdictionofthecourtsoftheProvinceofOntarioandfurtheragreestocommenceany
litigationthatmayariseunderthisEULAinthecourtslocatedintheJudicialDistrictofYork,ProvinceofOntario.Ifyouacquiredthisproductinthe
EuropeanUnion,thisEULAisgovernedbythelawsofTheNetherlands,excludingitsrulesgoverningconflictsoflawsandexcludingthe
UnitedNations
ConventionontheInternationalSaleofGoods.InsuchcaseeachofthepartiestothisEULAirrevocablyattornstothejurisdictionofthecourtsofThe
NetherlandsandfurtheragreestocommenceanylitigationthatmayariseunderthisEULAinthecourtsofTheHague,TheNetherlands.
4.3 TrimblereservesallrightsnotexpresslygrantedbythisEULA.
4.4 OfficialLanguage.TheofficiallanguageofthisEULAandofanydocumentsrelatingtheretoisEnglish.Forpurposesofinterpretation,orintheeventofa
conflictbetweenEnglishandversionsofthisEULAorrelateddocumentsinanyotherlanguage,theEnglishlanguageversionshallbecontrolling.
