Section 4. Miscellaneous
4.1 Proprietary Rights.
The Product and
any accompanying Software and documentation
providedwith the Product include proprietary and
intellectualpropertyrightsofSynologyanditsthird
partysuppliersandlicensors.Synologyretainsand
reservesallright,title,andinterestintheintellectual
property rights of the Product, and no title to or
ownershipofany intellectualproperty rights in or
to the Product, any accompanying Software or
documentationandanyothergoodsprovidedunder
thisWarrantyistransferredtoCustomerunderthis
Warranty.Customerwill(a)complywiththeterms
and conditions of the Synology enduser license
agreementaccompanying any Software furnished
by Synologyoran authorized Synology distributor
orreseller;and(b)notattempttoreverseengineer
anyProductorcomponentthereoforaccompanying
Softwareorotherwisemisappropriate,circumventor
violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment.
Customerwillnotassignany
ofitsrightsunderthisWarrantydirectly,byoperation
oflaworotherwise,withoutthepriorwrittenconsent
ofSynology.
4.3 No Additional Terms.
Exceptasexpressly
permitted by this Warranty, neither party will be
boundby, and each partyspecifically objectsto,
anyterm,condition or other provisionthatconicts
with the provisions of this Warranty thatis made
by theotherpartyinany purchase order,receipt,
acceptance, confirmation, correspondence or
otherwise,unlesseachpartyspecicallyagreesto
suchprovisionin writing.Further,if thisWarranty
conicts with anyterms orconditionsof any other
agreement enteredintobythe partieswithrespect
totheProduct,thisWarrantywillprevail unlessthe
otheragreementspecicallyreferencesthesections
ofthisWarrantythatitsupersedes.
4.4 A p p l ic ab l e L a w.
U n l e ss e x p r e s sl y
prohibited by local law,this Warranty is governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The 1980U.N. Convention onContracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
4.5 D i s p u t e Re s o l u t i o n .
A n y d i s p u t e ,
controversyor claim arising out of or relating to
this Warranty, the Product or services provided
by Synology with respect to the Product or the
relationship between Customers residing within
theUnited States andSynology will be resolved
exclusively and finally by arbitration under the
currentcommercialrulesoftheAmericanArbitration
Association,except as otherwise providedbelow.
The arbitration will be conducted before a single
arbitrator,andwill be limitedsolely to the dispute
betweenCustomerand Synology.Thearbitration,
or any portion of it, will not beconsolidated with
any other arbitrationandwill not beconductedon
aclass-wide orclass action basis.Thearbitration
shallbeheldinKingCounty, Washington, U.S.A.
bysubmissionof documents,by telephone, online
orinpersonasdeterminedby thearbitratoratthe
requestof the parties.Theprevailingparty in any
arbitrationorlegalactionoccurringwithintheUnited
States or otherwise shall receive all costs and
reasonableattorneys’fees,includinganyarbitration
fee paid by the prevailing party. Any decision
rendered in such arbitration proceedings will be
final and binding on the parties, and judgment
maybeenteredthereonin any courtofcompetent
jurisdiction. Customer understands that, in the
absenceofthisprovision,Customerwouldhavehad
aright tolitigate any such dispute, controversy or
claiminacourt,includingtherighttolitigateclaims
onaclass-wideorclass-actionbasis,andCustomer
expresslyand knowingly waives thoserightsand
agrees to resolve any disputes through binding
arbitrationinaccordancewith theprovisionsofthis
Section4.5.ForCustomersnotresidingwithinthe
UnitedStates, any dispute, controversy or claim
describedinthissectionshallbenallyresolvedby
arbitration conductedby threeneutral arbitrators
inaccordance with theprocedures oftheR.O.C.
ArbitrationLawandrelated enforcementrules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedings shall be conducted
inEnglishor,ifboth partiesso agree,inMandarin
Chinese. Thearbitration awardshall be final and
bindingonthepartiesandmaybeenforcedinany
court having jurisdiction. Nothing in thisSection
shall be deemed to prohibit or restrict Synology
fromseekinginjunctiverelieforseekingsuchother
rightsandremediesasitmayhaveatlaworequity
foranyactualorthreatenedbreachofanyprovision
of thisWarranty relating toSynology's intellectual
propertyrights.
4.6 A tto r ney s ' F e es.
I n a n y a r bit r ati o n ,
mediation,or other legal action or proceedingto
enforcerightsorremediesunderthisWarranty,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
4.7 Export Restrictions.
You acknowledge
that the Product may be subject to U.S. export
restrictions.Youwillcomplywithallapplicablelaws
andregulationsthatapplytotheProduct,including
without limitation the U.S. ExportAdministration
Regulations.
4.8 S evera bility.
I f any p rovis ion of thi s
Warrantyisheldbyacourtofcompetentjurisdiction
tobeinvalid,illegal,orunenforceable,theremainder
ofthisWarrantywillremaininfullforceandeffect.
4.9 E n t i r e A g r e e m e n t .
T h i s Wa r r a n t y
constitutes the entire agreement, and supersedes
any and all prioragreements, between Synology
andCustomerrelatedtothesubjectmatterhereof.
Noamendment,modicationorwaiverofanyofthe
provisions ofthisWarrantywillbe valid unless set
forth inawritteninstrumentsignedby theparty to
beboundthereby.
