Section 4. Miscellaneous
4.1 Proprietary Rights.
The Product and
any accompanying Software and documentation
provided withthe Product includeproprietary and
intellectualpropertyrightsofSynologyanditsthird
partysuppliersandlicensors.Synologyretainsand
reservesallright,title,andinterestintheintellectual
property rights of the Product, and no title to or
ownership of any intellectual property rights in or
to the Product, any accompanying Software or
documentationandanyothergoodsprovidedunder
thisWarrantyistransferredtoCustomerunderthis
Warranty.Customerwill(a)complywiththeterms
and conditions of the Synology end user license
agreement accompanying anySoftware furnished
by Synology oranauthorized Synology distributor
orreseller;and(b)notattempttoreverseengineer
anyProductorcomponentthereoforaccompanying
Softwareorotherwisemisappropriate,circumventor
violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment.
Customerwillnotassignany
ofitsrightsunderthisWarrantydirectly,byoperation
oflaworotherwise,withoutthepriorwrittenconsent
ofSynology.
4.3 No Additional Terms.
Exceptasexpressly
permitted by this Warranty, neither party will be
bound by,and each party specifically objects to,
anyterm,condition or other provisionthatconicts
with the provisions ofthisWarranty that ismade
by the other partyinany purchase order,receipt,
acceptance, confirmation, correspondence or
otherwise,unlesseach partyspecically agrees to
suchprovisioninwriting.Further,if this Warranty
conictswithany termsor conditionsof any other
agreement enteredintoby the partieswith respect
totheProduct,thisWarrantywillprevailunlessthe
otheragreementspecicallyreferencesthesections
ofthisWarrantythatitsupersedes.
4.4 A p p l i ca b l e Law.
U n l e s s e x p r e s s l y
prohibitedbylocal law,this Warrantyis governed
by the laws of the State of Washington, U.S.A.
withoutregardtoanyconictoflawprinciplestothe
contrary.The 1980U.N. Conventionon Contracts
fortheInternationalSaleofGoodsoranysuccessor
theretodoesnotapply.
4.5 D i s p u t e R e s o l u t i o n .
A n y d i s p u t e ,
controversy or claim arising out of or relating to
this Warranty, the Product or services provided
by Synology withrespect to theProduct or the
relationship between Customers residing within
the United States and Synology will be resolved
exclusively and finally by arbitration under the
currentcommercialrulesoftheAmericanArbitration
Association, except asotherwise provided below.
The arbitration will be conducted before a single
arbitrator,and will be limited solelytothe dispute
betweenCustomerandSynology.Thearbitration,
or any portion of it, will notbe consolidated with
any otherarbitration and will not beconducted on
aclass-wide or class action basis.The arbitration
shall be held inKingCounty,Washington,U.S.A.
bysubmission of documents, bytelephone,online
orinpersonasdetermined bythearbitrator atthe
request ofthe parties.Theprevailing party in any
arbitrationorlegalactionoccurringwithintheUnited
States or otherwise shall receive all costs and
reasonableattorneys’fees,includinganyarbitration
fee paid by the prevailing party.Any decision
rendered in such arbitration proceedings will be
final and binding on the parties, andjudgment
maybeenteredthereon in anycourtofcompetent
jurisdiction. Customer understands that, in the
absenceofthisprovision,Customerwouldhavehad
aright to litigateanysuch dispute,controversy or
claiminacourt,includingtherighttolitigateclaims
onaclass-wideorclass-actionbasis,andCustomer
expressly and knowingly waives those rights and
agrees to resolve any disputes through binding
arbitrationinaccordancewiththe provisionsofthis
Section4.5.ForCustomersnotresidingwithinthe
United States, any dispute, controversy or claim
describedinthissectionshallbenallyresolvedby
arbitration conductedby three neutral arbitrators
in accordance with the procedures of theR.O.C.
ArbitrationLawandrelatedenforcement rules.The
arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C.,
andthearbitrationproceedings shall be conducted
inEnglishor,if bothpartiessoagree,inMandarin
Chinese.The arbitration award shall befinaland
bindingonthepartiesandmaybeenforcedinany
court having jurisdiction. Nothingin this Section
shall be deemed to prohibit or restrict Synology
fromseekinginjunctiverelieforseekingsuchother
rightsandremediesasitmayhaveatlaworequity
foranyactualorthreatenedbreachofanyprovision
of this Warrantyrelating to Synology's intellectual
propertyrights.
4.6 At t o rn e y s' Fe e s.
I n a n y a rbi t rat i on,
mediation, or other legal action or proceeding to
enforcerightsorremediesunderthisWarranty,the
prevailingpartywillbeentitledtorecover,inaddition
toanyotherrelieftowhichitmaybeentitled,costs
andreasonableattorneys'fees.
4.7 Export Restrictions.
You acknowledge
that the Productmay be subject to U.S. export
restrictions.Youwillcomplywithallapplicablelaws
andregulationsthatapplytotheProduct,including
without limitation the U.S. ExportAdministration
Regulations.
4.8 Severabil ity.
If a ny provision of thi s
Warrantyisheldbyacourtofcompetentjurisdiction
tobeinvalid,illegal,orunenforceable,theremainder
ofthisWarrantywillremaininfullforceandeffect.
4.9 E n t i r e A g r e e m e n t .
T h i s Wa r r a n t y
constitutes theentireagreement,andsupersedes
any and all prior agreements, between Synology
andCustomerrelatedtothesubjectmatterhereof.
Noamendment,modicationorwaiverofanyofthe
provisionsofthisWarrantywill bevalidunless set
forth inawritteninstrumentsignedbythe party to
beboundthereby.
