Pricing Policy
Prices published herein are List Prices. Net pricing is determined by annual volume. Contact your local Siemens sales representative for your pricing.
FOB – Point of Destination
Siemens Building Technologies, Inc., will pay the freight costs FOB point of destination for orders exceeding US$2,000 net. The order will be shipped
ground via the carrier of Siemens’ choice. Any expedited freight charges (Red, Blue) will not be covered by Siemens. A US$2000 order is dened as a
single purchase order shipped to a single point of destination. Siemens does not assess a drop ship charge.
Returns
All returns require written authorization that can be obtained by contacting the Siemens Customer Support Center. All Excess returned goods must be in
the original package, be the current revision of product, be in sellable condition as new product, and be returned within 90 days from date of sale. A proper
Return Material authorization (RMA) number must be acquired for all returned goods. Only goods returned with a completed RMA form and a copy of the
original purchase order will be considered for credit. Unless stated otherwise in writing, all returned goods, except those due to shipping errors by Siemens,
are subject to a 15% restocking charge. Returned goods must be sent freight pre-paid.
Pricing Terms
Prices are subject to change without notice. Written quotations will be honored for 30 days from the date of quotation or as stated therein. Orders entered
and unshipped on the date of a price change will be invoiced at the prices on the date the order was received by Siemens Building Technologies, Inc.
Payment and Credit Terms
Payment terms are net 30 days cash from the date of invoice unless otherwise approved by Siemens’ credit department. All payments shall be made
without offset, deduction or counterclaim.
Minimum Billing
Each order is subject to a minimum billing charge of US$50.00.
Special Services
Published prices do not include any additional services such as design layout, system drawings, installation drawings, jobsite labor, shop labor, air freight,
or special delivery charges. All labor and expenses for such services shall be charged at the rates prevailing at the time and place of performance.
Taxes
Published prices do not include duties or sales, use, excise or other similar taxes. All duties and taxes shall be paid by purchaser in addition to the stated
price; or in lieu thereof, purchaser shall provide Siemens Building Technologies, Inc. or its representative with valid state tax exemption forms.
Trade Identication
All trademarks, trade names and other trade identication (the “Marks”) used to designate any of Siemens’ products and all related goodwill are and shall
remain the sole property of Siemens. Purchaser agrees that it will not contest the validity of Siemens’ ownership of any of the Marks. Purchaser shall
use the Marks only in connection with the genuine Siemens products to which they refer; only in accordance with Siemens’ instructions; and only in such
a manner as to clearly indicate that purchaser is not an afliate, agent or employee of Siemens. Purchaser shall report any infringement or suspected
infringements of any of the Marks immediately to Siemens Building Technologies.
Title to Products and Risk of Loss
Until Siemens has been paid in full for the goods sold to purchaser, Siemens shall retain title to and have a security interest in such goods and any
proceeds there from. Purchaser shall execute and deliver to Siemens and Siemens is hereby authorized as attorney-in-fact to execute and deliver on behalf
of purchaser, and le any and all nancing statements and other instruments which Siemens deems reasonably necessary and desirable to protect such
security interest. Even when Siemens retains title, purchaser shall bear all risk of loss to such goods from and after delivery to the FOB point of destination.
Purchaser shall be solely responsible for transportation, handling, disposition and use of the goods upon delivery to the FOB point of destination. Purchaser
agrees to hold harmless and indemnify Siemens from and against any and all claims, damages, suits, or demands which may be asserted against
Siemens by reason of purchaser’s handling, transportation, disposition or use of the goods; purchaser’s conduct of operations or business; or purchaser’s
compliance or failure to comply with any governmental statutes, rules or regulations.
Excused Delays
Siemens shall not be responsible for loss, delay, injury or damage that may be caused by circumstances beyond its control, including but not restricted
to acts or omissions by purchaser or its employees or agents, Acts of God, war, civil commotion, acts of government, re, theft, corrosion, ood, water
damage, lightning, freeze-ups, strikes, lockouts, differences with workmen, riots, explosions, quarantine restrictions, delays in transportation, or shortage of
vehicles, fuel, labor or materials.
