theSoftware,Licensoranditssuppliersretainallrights,titleandinterestinandtotheSoftware,
including(i)anyandalltradesecrets,copyrights,patentsandotherproprietaryrightstherein
ortheretoor(ii)anyMarks(asdefinedinSection2.3below)usedinconnectiontherewith.Inno
eventshallCustomerremove,effaceorotherwiseobscureanyMarkscontainedonorinthe
Software.Al
lrightsnotexpresslygrantedhereinarereservedbyLicensor.
2.3Copies.CustomershallnotmakeanycopiesoftheSoftwarebutshallbepermittedtomakea
reasonablenumberofcopiesoftherelatedDocumentation.WheneverCustomercop
iesor
reproducesalloranypartoftheDocumentation,Customershallreproduceallandnotefface
anytitles,trademarksymbols,copyrightsymbolsandlegends,andotherproprietarymarkings
orsimilarindiciaoforigin(“Marks”)onorintheDocumentation.
2.4Restrictions.Customershallnotitself,orthroughanypar
ent,subsidiary,affiliate,agentor
otherthirdparty(i)sell,rent,lease,licenseorsublicense,assignorotherwisetransferthe
Software,oranyofCustomerʹsrightsandobligationsunderthisAgreementexceptasexpressly
permittedherein;(ii)decompile,disassemble,orreverseengineertheSoftware,inwhole orin
part,providedthatinthosejurisdict
ionsinwhichatotalprohibitiononanyreverseengineering
isprohibitedasamatteroflawandsuchprohibitionisnotcuredbythefactthatthis
AgreementissubjecttothelawsoftheStateofCalifornia,LicensoragreestograntCustomer,
uponCustomerʹswrittenrequesttoLicensor,alimitedrever
seengineeringlicensetopermit
interoperabilityoftheSoftwarewithothersoftwareorcodeusedbyCustomer;(iii)allowaccess
totheSoftwarebyanyuserotherthanbyCustomerʹsemployeesandcontractorswhoare
boundinwritingtoconfidentialityandnon‐userestrictionsatleastaspr
otectiveasthoseset
forthherein;(iv)exceptasexpresslysetforth herein,writeordevelopanyderivativesoftware
oranyothersoftwareprogrambasedupontheSoftware;(v)useanycomputersoftwareor
hardwarewhichisdesignatedtodefeatanycopyprotectionorotheruselimitingdevice,
includ
inganydeviceintendedtolimitthenumberofusersordevicesaccessingtheProduct;
(vi)discloseinformationabouttheperformanceoroperationoftheProductorSoftwaretoany
thirdpartywithoutthepriorwrittenconsentofLicensor;or(vii)engageathirdpartyto
performbenchmarkorfunctionalitytestingoftheProductorSoftware.
3.0LIMITEDWARRANTYANDLI
MITATIONOFLIABILITY
3.1LimitedWarranty&Exclusions.LicensorwarrantsthattheSoftware willperformin
substantialaccordancewiththespecificationsthereforesetforthintheDocumentationfora
periodofninety[90]daysafterCustomerʹsacceptanceofthetermsofthisAgreementwith
respecttotheSoftware(
“WarrantyPeriod”).IfduringtheWarrantyPeriodtheSoftwareor
Productdoesnotperformaswarranted,Licensorshall,atitsoption,correcttherelevant
Productand/orSoftwaregivingrisetosuchbreachofperformanceorreplacesuchProduct
and/orSoftwarefreeofcharge.THEFOREGOINGARECU
STOMERʹSSOLEANDEXCLUSIVE
REMEDIESFORBREACHOFTHEFOREGOINGWARRANTY.THEWARRANTYSET
FORTHABOVEISMADETOANDFORTHEBENEFITOFCUSTOMERONLY.Thewarranty
willapplyonlyif(i)theSoftwarehasbeenusedatalltimesandinaccordancewiththe
instructionsforusesetfo
rthintheDocumentationandthisAgreement;(ii)nomodification,
alterationoradditionhasbeenmadetotheSoftwarebypersonsotherthanLicensoror
