Complaints-AllclaimsordisputesmustbemadeinwringtoKELLERAmerica,Inc.a
maximumof60daysfromreceiptofthegoods,includingdiscoveryoffaultsnotpre-
viouslyapparent.Ifthewarrantyclaimsarejused,KELLERAmerica,Inc.isfreeatits
discreontorepair,replaceorissuecredit.Nofurthercompensaonfordamageswillbe
made.
AnydisputesorclaimsofBuyermustbeiniatedinapropercourtorotheradjudicave
body,asapplicable,withinone(1)yearfromthedateofshipmentbyKELLERAmerica,
Inc.,oritsrepresentave(s),orsuchclaimshallbedeemedinvalidorexpiredandcannot
berenewed.Totheextentallowed,thislimitaonperiodshalltrumpanyapplicable
statutorylimitaonsperiodthatmaystatealongerperiod.
Limitaon of responsibility -Ourresponsibilityconcernsthecorrectfunconofour
productsonly.Itcannotbeextendedtothewholesysteminwhichtheyareused.Our
responsibilityislimitedtothereplacement,repairorreimbursementofthegoodswe
agreearedefecveornon-conforming.Theclaimmustbeinwringwithin60daysfrom
receiptofthegoods.
Place of jurisdicon / applicable law -Thecontractmadebyacceptanceofthisoer
shallbedeemedmadeintheStateofVirginiaandshallbegovernedbyandconstrued
inaccordancewiththelawsofthatstatewithoutreferencetoorapplicaonofany
conictsoflawsprinciplesandwithoutconsideraonoftheplaceofexecuon.Buyer
expresslyagreestothesubjectmaerandpersonaljurisdiconoftheCircuitCourtsfor
theCityofNewportNews,Virginia,orthefederalDistrictCourtfortheEasternDistrict
ofVirginia,NewportNewsDivision.
Assignment-Neitherthisoernoranycontractresulngtherefrommaybeassigned
ortransferredinwholeorpartwithoutthepriorwrienconsentofKELLERAmerica,
Inc.Noassignmentortransferinviolaonofthisprovisionshallbevalidorbindingon
KELLERAmerica,Inc.
Aorney’s fees-UponanybreachofthisAgreement,thereasonableaorney’sfeesand
costsofthesubstanallyprevailingparty,whetherbyligaonorselement,shallbe
paid by the breaching party.
