EXPORT

You agree to comply with all applicable international and national laws and regulations that apply to

the Software, and any use you make of the Software, specifically including for the United States, the

requirements of the U.S. Arms Export Control Act, including the International Traffic in Arms

Regulations (ITAR) and the U.S. Export Administration Act, including the Export Administration

Regulations, including the requirement for obtaining any export license or agreement, if applicable.

LICENSEE INDEMNITY

The Licensee hereby indemnifies and at all times undertakes to keep the Company and its affiliates,

licensors, employees and officers indemnified from and against all costs, damages, liabilities or

expenses (including, without limitation, reasonable legal fees and costs) incurred by the Company in

defending or settling any actions, suits, proceedings, claims or demands made or brought against the

Company and/or its affiliates, licensors, employees and officers in consequence of or arising from; (i)

any use made by the Licensee, or any Authorised User or any customer of the Licensee of the

Software; and/or (ii) any breach or non-performance of any or all of the agreements, obligations,

representations, undertakings and warranties of the Licensee set out in this EULA.

JURISDICTION, VENUE AND CHOICE OF LAW

This End User License Agreement shall be governed by and interpreted in accordance with the laws

of the State of New South Wales, Australia without consideration of its conflicts of laws provisions.

Any proceeding arising out of or relating to this EULA shall be brought exclusively in the appropriate

state or federal courts located in New South Wales, Australia and the Company and you hereby

irrevocably submit to the jurisdiction and venue of such courts for the purpose of any such

proceeding. The Company and you hereby waive all objections to personal jurisdiction and venue in

the foregoing courts. Notwithstanding the foregoing, you agree that the Company shall still be

entitled to apply for injunctive remedies (or their equivalent) in any jurisdiction.

YOU ACKNOWLEDGE THAT THE SOFTWARE CONTAINS SOFTWARE AND/OR MATERIALS OWNED BY
