19. Interest. Except as set forth in Section 2 and in Section 6(g), all amounts not paid
when due hereunder shall bear interest until payment at eighteen percent (18%) per year or the
maximum rate, if any, permitted by applicable law, whichever is lower. For purposes of the
preceding sentence, obligations to DOLE shall be considered to become due (except as set forth in
Section 2) on the 30th day after the occurrence of the event, or after the circumstances occur out of
which such obligations arise, notwithstanding that the amount thereof may then be unliquidated.
20. Attorneys’ Fees. If DOLE brings an action or proceeding to enforce the terms hereof
or to declare it rights hereunder and is the prevailing party in such action or proceeding, DOLE shall
be entitled to its reasonable attorneys’ fees and costs.
21. Governing Law. This Agreement shall be construed and enforced under the laws of
the State of California.
