11. JURISDICTION.TherightsandobligationsofthepartiestothisAgreementshallbegovernedandconstruedin
accordancewiththelawsandintheStateandFederalcourtsoftheCommonwealthofMassachusetts,withoutregard
toitsruleswithrespecttochoiceoflaw.Youwaiveanyobjectionstothepersonaljurisdictionandvenueofsuchcourts.
12. GENERAL.
(a) ThisAgreementshallnotbeassignablebyYouwithouttheexpresswrittenconsentofEnterasys.Therights
ofEnterasysandYourobligationsunderthisAgreementshallinuretothebenefitofEnterasys’assignees,
licensors,andlicensees.
(b) SectionheadingsareforconvenienceonlyandshallnotbeconsideredintheinterpretationofthisAgreement.
(c) TheprovisionsoftheAgreementareseverableandifanyoneormoreoftheprovisionshereofarejudicially
determinedtobeillegalorotherwiseunenforceable,inwholeorinpart,theremainingprovisionsofthis
Agreementshallneverthelessbebindingonandenforceablebyandbetweenthepartieshereto.
(d) Enterasys’waiverofanyrightshallnotconstitutewaiverofthatrightinfuture.ThisAgreementconstitutes
theentireunderstandingbetweenthepartieswithrespecttothesubjectmatterhereof,andallprior
agreements,representations,statementsandundertakings,oralorwritten,are
herebyexpresslysuperseded
andcanceled.NopurchaseordershallsupersedethisAgreement.
