10. ENFORCEMENT. YouacknowledgeandagreethatanybreachofSections2,4,or9ofthisAgreementbyYoumaycause

Enterasysirreparabledamageforwhichrecoveryofmoneydamageswouldbeinadequate,andthatEnterasysmaybe

entitledtoseektimelyinjunctiverelieftoprotectEnterasys’rightsunderthisAgreement

inadditiontoanyandallremedies

availableatlaw.

11. ASSIGNMENT. Youmaynotassign,transferorsublicensethisAgreementoranyofYourrightsorobligationsunderthis

Agreement,exceptthatYoumayassignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallofYourstock

orassets.

EnterasysmayassignthisAgreementinitssolediscretion.ThisAgreementshallbebindinguponandinuretothe

benefitoftheparties,theirlegalrepresentatives,permittedtransferees,successorsandassignsaspermittedbythis

Agreement.Anyattemptedassignment,transferorsublicenseinviolationofthetermsofthisAgreementshall

bevoidand

abreachofthisAgreement.

12. WAIVER. AwaiverbyEnterasysofabreachofanyofthetermsandconditionsofthisAgreementmustbeinwritingand

willnotbeconstruedasawaiverofanysubsequentbreachofsuchtermorcondition.Enterasys’failuretoenforce

aterm

uponYourbreachofsuchtermshallnotbeconstruedasawaiverofYourbreachorpreventenforcementonanyother

occasion.

13. SEVERABILITY. IntheeventanyprovisionofthisAgreementisfoundtobeinvalid,illegalorunenforceable,thevalidity,

legalityandenforceabilityofanyoftheremaining

provisionsshallnotinanywaybeaffectedorimpairedthereby,andthat

provisionshallbereformed,construedandenforcedtothemaximumextentpermissible.Anysuchinvalidity,illegalityor

unenforceabilityinanyjurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovisioninanyother

jurisdiction.

14. TERMINATION. Enterasysmay

terminatethisAgreementimmediatelyuponYourbreachofanyofthetermsand

conditionsofthisAgreement.Uponanysuchtermination,YoushallimmediatelyceasealluseoftheProgramandshall

returntoEnterasystheProgramandallcopiesoftheProgram.
