11. ASSIGNMENT. Youmaynotassign,transferorsublicensethisAgreementoranyofYourrightsorobligationsunderthis
Agreement,exceptthatYoumayassignthisAgreementtoanypersonorentitywhichacquiressubstantiallyallofYour
stockorassets.EnterasysmayassignthisAgreementinitssolediscretion.This
Agreementshallbebindinguponandinure
tothebenefitoftheparties,theirlegalrepresentatives,permittedtransferees,successorsandassignsaspermittedbythis
Agreement.Anyattemptedassignment,transferorsublicenseinviolationofthetermsofthisAgreementshallbevoidand
abreachofthisAgreement.
12. WAIVER. A
waiverbyEnterasysofabreachofanyofthetermsandconditionsofthisAgreementmustbeinwritingand
willnotbeconstruedasawaiverofanysubsequentbreachofsuchtermorcondition.Enterasys’failuretoenforceaterm
uponYourbreachofsuchtermshall
notbeconstruedasawaiverofYourbreachorpreventenforcementonanyother
occasion.
13. SEVERABILITY. IntheeventanyprovisionofthisAgreementisfoundtobeinvalid,illegalorunenforceable,thevalidity,
legalityandenforceabilityofanyoftheremainingprovisionsshallnotinanywaybeaffected
orimpairedthereby,andthat
provisionshallbereformed,construedandenforcedtothemaximumextentpermissible.Anysuchinvalidity,illegalityor
unenforceabilityinanyjurisdictionshallnotinvalidateorrenderillegalorunenforceablesuchprovisioninanyother
jurisdiction.
14. TERMINATION. EnterasysmayterminatethisAgreementimmediatelyuponYourbreachofanyofthetermsand
conditionsofthisAgreement.Uponanysuchtermination,YoushallimmediatelyceasealluseoftheProgramandshall
returntoEnterasystheProgramandallcopiesoftheProgram.
