THEFOLLOWINGWARRANTY ANDSOFTWARELICENSEGRANTAPPLYONLYFORBRIDGEWAVE
COMMUNICATIONS,INC.(“BRIDGEWAVE”)PRODUCTSPURCHASEDTHROUGHBRIDGEWAVE AUTHORIZED
CHANNELPARTNERSWITHINTHEUNITEDSTATESORCANADABYTHEORIGINALENDPURCHASER
(“BUYER”).IFBRIDGEWAVEPRODUCTSWEREOBTAINEDTHROUGHOTHERCHANNELS,THEFOLLOWING
PROVISIONSDONOTAPPLYANDTHESELLINGPARTYSHOULDBECONTACTEDFORINFORMATIONON
ANYPRODUCTWARRANTIESAVAILABLE.
Thefollowingtermsapplytothe Buyer’suseofBridgeWavehardwareproducts(“Products”)andsoftware product s(“Software”),excepttotheextent
otherwiseprovidedin(a)asepara tewrittenagreementbetweenBuyerandBridgeWaveor(b)a“clickon”license agreementaspartoftheinstallation
and/ordownloadingprocessfora particularSoftware.Totheextentofaconflictb etweentheprovisionsofthesedocuments,theorderofpr ece dence
shallbe(1)thewrittenagreement,(2)theclickonlicenseagreement,and(3)thisLimitedWarrantyandSoftwareLicense.
LIMITEDHARDWAREWARRANTY
LimitedHardware Warranty.Subjecttolimitationsbelo w,foraperiodoftwelve(12)months(the“WarrantyPeriod”)aftershipmenttoBuyerof
theHardware byBridgeWave or an a uthori zed distributor ofBridgeWave products, BridgeWave warrantsthattheP roducts,under normal useand
service, shall be free in all material respects from defective de sign, material and faulty workmanship and shall operate in all material respects in
compliance with th e functional specifications, de signs, installation instructions, Product descri ptions or technical requirements published by
BridgeWaveinitsProductManual(“Specifications”).TheforegoingwarrantyincludesBasicSupportServices(as definedatwww.BridgeWave.com)
fromBridgeWave during the Warranty Period. Th ese warranties are provided for the benefit of th e original Buyer only. Except forthe foregoing
warranti es,theProductsaresuppli ed“ASIS”.
RemediesforBreachofBridgeWaveWarranty.IfaProductis inbreachofBrid geWave’swarrantyduringtheWarrantyPeriod,BridgeWav eshall,
asthe soleand exclusivereme dy, within thirty (30) calendar daysafterBridgeWave’sreceipt of the returnedProduct,repair,replace(with newor
refurbishedunits)ormodify,asBridgeWavemaysolelyelect,theProductasnecessarysothattheProductcompl ieswiththeapplicableWarranty,or
atBridgeWave’soption,refundtotheBuyertheBuyer’ s purchase pricepaid forthe Product.Beforereturningany ProductstoBridgeWave,Buyer
mustfollowthestepssetforthintheTroubleShootingandReturnMerchandiseProcedureexplainedatwww.BridgeWave.com.AnyProductretu rned
toBridgeWave must be shipped according toBridgeWave’s instructions with aproperly issued RMA number clearly visible ontheoutside of the
packaging. All Products return ed to Bridge Wave shall be shipped DDP (Deliv ery and Duties Paid) by Buyer to BridgeWave’s designated service
facility. BridgeWaveshall prepayreturn freight chargeson repairedor replacedProducts whenBridgeWavedetermines,in its solejudgmentthat a
breachofwarrantyoccurred.BridgeWavemaychargeitsstandardratesforanyrepairorreplacement workperformedonreturnedProductthatwasnot
inbreachofthewarrantiesherein.
ReplacementProductWarranty.TheWarrantyPeriodofreplacementProduct(whetherneworrefurbished)shallco mmenceupontheshipmentof
thereplacementProducttoBuyerandshallexpireonthelaterofninety(90)daysaftershipmentdateorthelastdayoftheoriginalWarra ntyPeri od
withrespecttothereplacedProduct.Allreplac edpartsorProductshallbeco methepropertyofBridgeWave.
LimitationonWarranty.Exceptwheretheyareembeddedint heProducts,nonBridgeWavemanufacturedproductsprovidedtoBuyera reexcluded
fromanyBridgeWave warranty,butmaybesubjecttoawarrantyprovidedbytheor iginalmanufacturer.BridgeWaveshallsupplyacopyofanysuch
warrantytoBuyeronspecificwr ittenre quest.BridgeWavewarrantiesa revoidif:(a)BuyerintegratesorassemblestheProductwithotherproducts
unless integrated or assembled in accordance with applicable Specifications; (b) the Produc t is wired, repaired or altered by anyone oth er tha n
BridgeWave or an authorized representative of BridgeWave in strict accordance with the applicable Specifications; (c) the Product is improperly
handled,stored,installedormaintai ned;(d)theProdu ctisusedinviolationoftheapplicableSpecificationsorBridgeWave’sinstructionsorsubjected
to misuse, neglect, accide nt, abuse or suffers damage due toacts of nature; or(e) the Product is disassembled or its housings are removed by any
personotherthanaBridgeWaveauthorizedtechnician.
EXCLUSIONOFCERTAINWARRANTIES.THEFOREGOINGWARRANTIESAREINLI EUOFANDEXCLUDEALLOTHEREXPRESS
AND IMPLIED REPRESENTATION OR WARRANTIES, INCLUDING BUT NOT LIMITED TO, PRODUCT  NO NINFRINGEMENT, OR
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ERROR FREE NON
INTERRUPTED OPE RATIONS, PROTECTION FROM UNAUTHORIZED INTRUSION OR ATTACK OR OPERATION AT A SPECIFIED
RANGE OR SIGNAL AVAILABILITY OR ARISING FROM A COURSE OF DEALING, LAW, USAGE OR TRADE PRACTICE. AS EACH
PRODUCTISUNIQUE,BRIDGEWAVEDISCLAIMSLIABILITYFOROPERATIONOFTHEENDUSERNETWORKASAWHOLEUNDER
ANY WARRANTY PROVIDED HEREIN. TO THE EXTENT A WARRANTY CANNOT BE EXCLUDED BY LAW, SUCH WARRANTY IS
LIMITEDINDURATIONTOTHEWARRANTYPERIOD.BECAUSESOMESTATESORJURISDICTIONS DONOTALLOWLIMITATIONS
ON WARRANTY DURATION , THE ABOVE LIMITATION  MAY NOT APPLY. THIS WARRANTY GIVES SPECIFIC LEGAL RIGHTS
WHICHMAYBEINADDITIONTOOTHERRIGHTSWHICHVARYFROMJURISDICTIONTOJURISDICTION.THISDISCLAIMERAND
EXCLUSIONSHALLAPPLYEVENIFTHEEXPRESSWARRANTYSETFORTHABOVEFAILSOFITSESSENTIALPURPOSE.
SOFTWARELICENSE
Software License. BridgeWave provid es Buyer a non exclusive, nontransferable limited license (“License”) to use, solely as embed ded in, for
executionon orforcommunicationwiththeProducts,theobjectcode(andnotthesourcecode)ofitsSoftware.ForpurposesofthisLicense,Software
shall includ e any BridgeWave provided documentation, component parts, user interfaces, modifications, upgrades, up dates, bug fixes, corrections,
backupco piesandnewreleases.Buy er’suseoftheSoftwareshallalsobelimitedbyanyotherrestrictionssetfort hinBridgeWave’squotationorin
BridgeWave’sproductcatalog,userdocumentationorwebsite.
