14.3.2.3 terminate all subcontracts and orders to the extent they relate to the Work
terminated by way of the notice;
14.3.2.4 proceed to complete the performance of the Work not terminated; and
14.3.2.5 take actions that may be necessary, or that the Board may direct, for the
protection and preservation of the terminated Work.
14.3.3 Upon such termination, the Contractor shall recover as its sole remedy payment for Work
properly performed in connection with the terminated portion of the Work prior to the effective date
of termination and for items properly and timely fabricated off the Project site, delivered and stored
in accordance with the Board's instructions. The Contractor hereby waives and forfeits all other
claims for payment and damages, including, without limitation, anticipated profits.
14.3.4 Notwithstanding any other provision in the Contract Documents, the Board shall be credited
for (1) payments previously made to the Contractor for the terminated portion of the Work, (2)
claims which the Board has against the Contractor under the Contract and (3) the value of the
materials, supplies, equipment or other items that are to be disposed of by the Contractor that are
part of the Contract Sum.
