3.15 Access to Work
3.15.1 The Contractor shall provide the Board and the Engineer access to the Work in preparation
and progress wherever located.
3.16 Royalties and Patents
3.16.1 The Contractor shall pay all royalties and license fees. The Contractor shall defend suits or
claims for infringement of patent rights and shall hold the Board and Engineer harmless from loss
on account thereof, but shall not be responsible for such defense or loss when such suit or claim
stems solely from a particular design, process or product of a particular manufacturer or
manufacturers which is specifically required by the Contract Documents. However, if the
Contractor has reason to believe that the required design, process or product is an infringement of
a patent, the Contractor shall be responsible for such loss unless such information is promptly
furnished to the Engineer and the Board.
3.17 Indemnification
3.17.1 To the fullest extent permitted by law, the Contractor shall protect, defend, indemnify and
hold free and harmless the Board, Engineer, Engineer's consultants and any officers, employees,
successors, administrators or agents of same from and against any and all claims, damages, losses,
claims of loss, causes of action, penalties, settlements, costs, liabilities and expenses of any kind,
including but not limited to attorney fees, arising out of or resulting from any acts or omissions of
the Contractor, its officers, employees, consultants, agents, subcontractors, sub-subcontractors,
successors or administrators, negligent or otherwise, and regardless of whether such claims,
damages, losses, claims of loss, causes of action, penalties, settlements, costs, liabilities or expense
is caused in part by any party indemnified hereunder.
3.17.1.1 The Contractor agrees to be responsible for the payment of all damages,
settlements, costs and expenses of any kind, including attorney fees, incurred
by the Board while the Board defends or pursues any action, cause of action,
or claim which arises out the aforementioned acts or omissions. Such
obligations shall not be construed to negate, abridge, or reduce other rights
or obligations of indemnity which would otherwise exist as to a party or
person described in this Paragraph 3.17.
3.17.2 In claims against any person or entity indemnified under this Paragraph 3.17 by an employee
of the Contractor, a Subcontractor, a Sub-subcontractor, anyone directly or indirectly employed by
them or anyone for whose acts they may be liable, the indemnification obligation under this
Paragraph 3.17 shall not be limited by a limitation on amount or type of damages, compensation or
benefits payable by or for the Contractor, a Subcontractor, or a Sub-subcontractor under workers'
or workmen's compensation acts, disability benefit acts or other employee benefit acts.
